Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Buyer," or "Seller") and WebNutch ("Company," "we," "us," or "our") regarding your access to and use of the website webnutch.com and all related services, APIs, and platform features (collectively, the "Platform").

By accessing the Platform, creating an account, purchasing or listing any digital product, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to update these Terms at any time. Continued use of the Platform after any modification constitutes your acceptance of the revised Terms.

• "Platform"The WebNutch website, marketplace, APIs, and all related services.
• "Buyer"Any registered user who purchases, downloads, or acquires digital products from the Platform.
• "Seller" / "Creator"Any approved user who lists, sells, or distributes digital products through the Platform.
• "Products"AI workflows, agents, automation scripts, prompt packs, prompts, or any other digital goods listed on the Platform.
• "Credits"The virtual in-platform currency used to purchase prompt-based products.
• "Content"Any information, material, or data uploaded, submitted, or transmitted by users.
• "Prohibited Country"Any jurisdiction subject to OFAC, UN, EU, or UK sanctions.

You must be at least 18 years of age to use the Platform. By registering, you represent and warrant that:

• You are at least 18 years old.
• You have the legal capacity to enter into a binding contract.
• You are not located in a Prohibited Country.
• You will provide accurate, complete, and up-to-date registration information.
• Your account will be used only by you, and you are responsible for all activity under your account.

You are responsible for maintaining the confidentiality of your login credentials. WebNutch will not be liable for unauthorized account access resulting from your failure to secure your credentials. You must notify us immediately at security@webnutch.com if you suspect unauthorized access.

4.1 Purchases. By purchasing a Product, you receive a non-exclusive, non-transferable, revocable license to use that Product for your own personal or commercial purposes, subject to any additional license terms specified by the Seller.

4.2 No Refund Policy. All sales are final. Due to the digital and immediately accessible nature of our Products, we do not offer refunds after a purchase is completed, except where required by applicable law or at our sole discretion in cases of material misrepresentation by the Seller. We reserve the sole right to determine whether a refund is warranted.

4.3 Credits. Platform Credits are non-refundable, non-transferable, have no monetary value outside the Platform, and expire if your account is terminated for any reason. WebNutch reserves the right to adjust Credit values, impose expiry dates, or discontinue the Credits system at any time with reasonable notice.

4.4 Prohibited Resale. You may not resell, sublicense, redistribute, or commercially exploit Products purchased on the Platform without explicit written authorization from the Seller and WebNutch.

4.5 Chargebacks. Filing a fraudulent chargeback is a breach of these Terms. We reserve the right to permanently ban accounts associated with fraudulent chargebacks and to pursue legal remedies including debt collection.

5.1 Approval. Selling on WebNutch requires an approved seller application. We may accept or reject any application at our sole discretion without providing a reason.

5.2 Content Ownership & License. You affirm that you own or have the legal right to sell all Content you list. By listing a Product, you grant WebNutch a worldwide, royalty-free, non-exclusive license to host, display, market, and distribute your Product on the Platform.

5.3 Revenue Share. Sellers receive 70% of the net sale price for scripts, workflows, and agents. Prompt-based purchases using Credits are subject to a 50% revenue share. Rates may be revised at WebNutch's discretion with 30 days' notice. WebNutch retains the remaining percentage as a marketplace service fee.

5.4 Payouts. Sellers may request payouts once their earned balance reaches $20. Payouts are processed within 5-10 business days. WebNutch is not liable for delays caused by third-party payment processors. We reserve the right to withhold or delay payouts if we have reasonable grounds to suspect fraud, money laundering, or a violation of these Terms, pending investigation.

5.5 Tax Obligations. You are solely responsible for determining and fulfilling your own tax obligations arising from your use of the Platform. WebNutch does not provide tax, legal, or financial advice. We may withhold and remit taxes as required by applicable law.

You agree that you will not, under any circumstances:

• Use the Platform for any unlawful, fraudulent, or deceptive purpose.
• Attempt to gain unauthorized access to any part of the Platform or another user's account.
• Upload, sell, or transmit Content that infringes any third-party intellectual property right.
• List or sell Products that contain malicious code, spyware, or any harmful software.
• Use automated bots, scrapers, or crawlers to access or extract Platform data.
• Create multiple accounts to circumvent bans, restrictions, or payout limits.
• Manipulate reviews, sales counts, or engagement metrics through artificial means.
• Facilitate, encourage, or assist any third party in violating these Terms.
• List Content that promotes violence, terrorism, child exploitation, or illegal discrimination.
• Impersonate any person, entity, or WebNutch staff.

Violation of any prohibition will result in immediate account suspension pending investigation and may result in permanent termination, withholding of funds, and referral to law enforcement authorities.

7.1 KYC/Verification. We reserve the right to request identity verification (Know Your Customer / KYC documents) from any user — especially Sellers — at any time. Failure or refusal to complete verification may result in immediate account suspension and withholding of pending payouts until verification is complete or the investigation is resolved.

7.2 Suspicious Activity. We actively monitor transactions and account activity for indicators of money laundering, fraud, structuring, or other financial crime. Indicators include but are not limited to: unusually high transaction volumes, rapid cycling of credits, purchases followed by immediate chargebacks, accounts accessing the platform from sanctioned countries, and patterns inconsistent with legitimate marketplace activity.

7.3 Account Suspension for Suspected Crime. WebNutch may immediately and without prior notice:

• Suspend or permanently terminate any account we reasonably suspect is being used to facilitate money laundering, fraud, terrorist financing, or any other financial crime.
• Freeze and withhold any pending or accumulated payout balance.
• Report the account, activity, and associated identifying information to relevant law enforcement and financial intelligence authorities.

7.4 No Liability for Suspension. Because financial crime suspicion may require confidentiality, we may not be able to inform you of the specific reason for a suspension or investigation. WebNutch will not be liable for any losses, reputational harm, or damages arising from a good-faith account suspension under this clause.

7.5 Sanctions Compliance. You warrant that you are not located in, incorporated in, or acting on behalf of any government, entity, or individual in a country subject to comprehensive sanctions by OFAC, the EU, the UK, or the UN. Any attempt to circumvent sanctions using VPNs or other means constitutes a material breach of these Terms.

8.1 WebNutch IP. The WebNutch name, logo, platform design, software, and all proprietary content are the exclusive property of WebNutch and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our proprietary content without express written permission.

8.2 User Content. You retain ownership of Content you submit. However, by submitting Content, you grant WebNutch a worldwide, royalty-free, sublicensable, non-exclusive license to use, reproduce, modify, and display your Content for the purposes of operating and promoting the Platform.

8.3 DMCA. We respond to valid copyright notices under the Digital Millennium Copyright Act (DMCA). To submit a takedown request, contact legal@webnutch.com.

WebNutch charges a marketplace service fee on all Seller transactions. Current fee rates are as described in Section 5.3. Payment processing is handled by our third-party payment provider (Stripe). You agree to Stripe's Terms of Service when making or receiving payments through the Platform.

WebNutch reserves the right to introduce, modify, or waive fees at any time. Material changes to fee structures will be communicated to affected users with at least 30 days' notice via email or platform notification.

WebNutch reserves the right to suspend, restrict, or permanently terminate any account at any time, at our sole discretion, for reasons including but not limited to:

• Violation of any provision of these Terms.
• Suspected or confirmed fraudulent activity, including chargebacks, money laundering, or impersonation.
• Non-compliance with identity verification requests.
• Use of the Platform in a manner that harms other users or WebNutch's reputation.
• Any other reason that WebNutch, in its sole discretion, deems to create unacceptable risk to the Platform, its users, or its payment partners.

You may terminate your account at any time by contacting legal@webnutch.com. Termination does not relieve you of any obligations incurred prior to termination.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WEBNUTCH DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY CONTENT OR PRODUCT WILL PRODUCE A PARTICULAR OUTPUT WITH ANY AI MODEL; (C) THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBNUTCH'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL AMOUNT PAID BY YOU TO WEBNUTCH IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WEBNUTCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THEIR POSSIBILITY.

You agree to defend, indemnify, and hold harmless WebNutch and its officers, directors, employees, agents, and partners from and against any claims, damages, liabilities, legal fees, and costs arising from: (a) your use of the Platform; (b) any Content you submit; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) any third-party claim related to Products you list or sell.

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding individual arbitration — not class action or jury trial — unless either party is seeking emergency injunctive relief.

Before initiating arbitration, both parties agree to attempt good-faith negotiation for at least 30 days.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

We may update these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-platform notification. Your continued use of the Platform after the notice period constitutes acceptance of the updated Terms. If you disagree with the revised Terms, you must stop using the Platform and close your account.
